    Conditions Overview
    By participating in the CLn Skin Care(the “Brand”), TopMD (the "Company") Affiliate Program (Program), affiliates
    (you&,your) agree to abide by these Terms and Conditions (Terms). This Program is
    managed through the platform (“Site”). Please review these Terms and
    Conditions carefully before using this service. In addition, we have developed a Privacy Policy to
    inform you of our practices with respect to the collection, use, disclosure and protection of
    personal information. You can find the Privacy Policy, which is incorporated into these Terms of
    Use, on our brand page and by using this Site you agree to the terms of the Privacy Policy.

    To be eligible for the Program, you must be at least 18 years of age, have a valid
    account, and operate a website, blog, or social media platform with content related to healthcare, skincare,
    beauty, or wellness.

    Application Process
    To apply, submit your application via the (“Site”) platform registration form. We
    will review your application and may accept or reject it at our sole discretion based on factors
    such as the relevance of your content and audience. We reserve the right to terminate your
    participation in the Program if you violate these Terms.

    Commission Structure
    Affiliates will earn a commission on qualifying purchases made by customers who click through
    an affiliate link. Commission rates and other details will be communicated to you upon approval
    and may change at our discretion. Commissions will be paid on a monthly basis via the payment
    method specified on the Site. We reserve the right to withhold payment if fraudulent or
    suspicious activity is detected.

    Affiliate Responsibilities
    As an affiliate, you agree to promote the Brand products in a truthful, accurate, and non-
    misleading manner. You must not make false claims or misrepresent our products. All
    promotions must comply with applicable laws, rules, and regulations, including the Federal
    Trade Commission (FTC) guidelines for advertising and endorsements.

    Advertising Materials
    We may provide you with promotional materials, such as banners and images, for use in your
    marketing efforts. These materials must be used as provided and may not be altered without
    our prior written consent.

    Promotional Methods
    Affiliates in the Program are encouraged to use various promotional methods to maximize their
    earning potential. Approved promotional methods include content marketing, email marketing,
    social media promotion, and influencer partnerships. Affiliates can create informative blog
    posts, engaging social media posts, and helpful email newsletters to promote Brand’s
    products to their audience. They can also collaborate with influencers to reach new potential
    customers. All promotional content must be honest and accurate, and affiliates must disclose
    their affiliate relationship with Brand in accordance with the Federal Trade Commission
    (FTC) guidelines. Affiliates are prohibited from using misleading or deceptive advertising tactics,
    spamming, or engaging in any fraudulent or unethical practices. Affiliates may only use
    approved marketing materials provided by Brand and must adhere to all brand guidelines
    and intellectual property restrictions. We reserve the right to review and approve all
    promotional methods used by our affiliates to ensure compliance with these terms.
    All discounts, promotions, or special offers related to Brand products are exclusively
    initiated and authorized by the Company. Affiliates are strictly prohibited from offering or
    advertising any discounts, promotions, or special offers that are not officially sanctioned by
    Company. Any unauthorized discounts or promotions may result in immediate termination
    from the affiliate program and forfeiture of any earned commissions. Affiliates must only
    promote discounts and offers that are communicated directly from Company through official
    channels within the Program. Affiliates must adhere to the specific terms, conditions, and
    expiration dates of any authorized promotions. Any violation of these guidelines may result in
    disciplinary action, including but not limited to termination of affiliate status and legal action if
    deemed necessary.

    Intellectual Property
    You are hereby granted a non-exclusive, non-transferable, revocable, limited license to use our
    trademarks, logos, and brand names only as authorized by us. All intellectual property rights
    remain with Brand and Company, and you may not claim any ownership or rights to these materials.

    You may receive confidential information about Company, including business strategies,
    marketing plans, and financial data. You agree to keep this information confidential and not
    disclose it to third parties.

    We reserve the right to terminate your participation in the Program for any reason, including
    violation of these Terms, at our sole discretion. Upon termination, you will no longer be eligible
    for commissions and must cease using our promotional materials and trademarks. If you wish
    to terminate your account on the Site, you may do so at your discretion following the
    instructions on the Site. Any fees paid to the Company hereunder are non-refundable. In the
    event of termination, you will still be bound by your obligations under these Terms of Use.

    Governing Law
    These Terms shall be governed by and construed in accordance with the laws of the state of
    Texas, United States of America, without regard to its conflict of laws principles.

    Changes to Terms
    We may update these Terms at any time. You will be notified of any changes via the email
    address associated with your account. Your continued participation in the
    Program constitutes acceptance of any changes.
